1. Who these terms are with

These terms are between you and [registered company name], registration number [20XX/XXXXXX/07], trading as Radock Agency. When we say “we” or “us” we mean that company. When we say “you” we mean the person or business buying the work.

2. What we agree to do

We build the website and set up the automation described in the quote we send you. The quote is the definition of the work. Anything not in the quote is a new quote — we will not do extra work and then invoice you for it.

3. Payment

50% deposit before we start, the balance on launch. [Confirm: payment methods, invoice terms in days, what happens on late payment, whether interest applies, and whether prices include or exclude VAT — and whether the business is VAT registered.]

4. What we need from you

Photos, prices, your business details, and answers when we ask. If we do not have those, the timeline stops until we do. [Confirm: how long we hold a project open before it is archived, and whether the deposit is forfeited.]

5. Changes and revisions

Each package includes a set number of rounds of changes, listed on the pricing section. Extra rounds are charged at [hourly rate]. [Confirm rate and minimum billing increment.]

6. Who owns what

Once you have paid in full, the website content, images you supplied, and the domain are yours. [Confirm: whether we keep ownership of any reusable code, templates or automation blueprints, and whether we may show the work in our portfolio.]

7. Hosting, domains and care

Hosting, domain registration, backups and updates are quoted separately. [Confirm: uptime expectations, what happens if a monthly fee is not paid, notice period to cancel, and how the site is handed over on cancellation.]

8. Third-party services

Automation depends on services we do not own — WhatsApp Business, the message provider, the calendar, the hosting company. [Confirm: how their fees are handled, and that we are not liable for their outages or policy changes.]

9. Cancellation

[Confirm: cancellation rights on both sides, notice required, what is refundable, and the Consumer Protection Act cooling-off position for electronic transactions.]

10. Liability

[Confirm with a lawyer. A cap on liability, exclusion of indirect losses such as lost profit, and the required CPA wording all need proper drafting — do not guess this one.]

11. Disputes

Talk to us first — most things get sorted on a call. [Confirm: formal dispute process, mediation or arbitration, and which South African courts have jurisdiction.]
